Terms of Service

These Terms of Service ("Terms") govern your access to and use of SPARC, a product of EVMG Technologies LLC ("EVMG Technologies," "we," "us," or "our"). By accessing SPARC, you agree to be bound by these Terms.

If you are using SPARC on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

SPARC is an AI orchestration middleware platform that enables engineering teams to connect, route, and coordinate AI agents and workflows. Features, pricing, and availability are subject to change with reasonable notice.

2. Account Registration

• You must provide accurate registration information
• You are responsible for all activity under your account
• You must notify us immediately of any unauthorized access
• Accounts are non-transferable without written consent

3. Acceptable Use

You agree not to use SPARC to:

• Violate any applicable law or regulation
• Infringe intellectual property rights of any party
• Transmit malware, unauthorized access tools, or harmful code
• Attempt to reverse-engineer, decompile, or extract source code from SPARC
• Resell or sublicense SPARC without written authorization
• Conduct load testing or stress testing without prior written consent
• Use SPARC to facilitate, automate, or scale any illegal activity

4. Intellectual Property

SPARC and all associated software, documentation, designs, and trademarks are owned by EVMG Technologies LLC and protected under applicable intellectual property law. The SPARC platform is licensed, not sold, under the Essence Source License (ESL).

You retain all rights to your data and agent configurations. By using SPARC, you grant EVMG Technologies a limited license to process your data solely to provide the service.

5. Payment and Billing

• Subscription fees are billed monthly in advance
• All fees are non-refundable except as required by law or as stated in your agreement
• Overdue accounts may be suspended after 7 days written notice
• Price changes take effect at the next billing cycle with 30 days notice

6. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance. We are not liable for downtime caused by third-party providers, force majeure, or factors outside our reasonable control.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVMG TECHNOLOGIES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF SPARC, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify and hold harmless EVMG Technologies, its officers, employees, and agents from any claims, damages, or expenses (including attorneys' fees) arising from your use of SPARC, violation of these Terms, or infringement of third-party rights.

9. Termination

Either party may terminate at any time. We may suspend or terminate accounts immediately for material breach of these Terms. Upon termination, your right to access SPARC ceases. You may export your data within 30 days of termination.

10. Governing Law

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law principles. Disputes shall be resolved in the state or federal courts located in Maricopa County, Arizona.

11. Changes to Terms

We may update these Terms. Material changes will be communicated with at least 14 days notice. Continued use after notice constitutes acceptance.
